Sheehan Phinney Attorneys Assist MRSI Systems with Purchase Agreement

(April 2, 2014, Boston, MA) — Attorneys from the law firm Sheehan Phinney Bass + Green PA assisted MRSI Systems, LLC, in its recent purchase of the MRSI Group  of Newport Corporation (Nasdaq: NEWP). MRSI Systems was formed by three long – time managers of the division, which makes and sells precision equipment used in high technology manufacturing.

The transaction involved the negotiation of a purchase agreement with Newport as well as debt facilities to finance the purchase.  Sheehan Phinney attorneys also worked with the founders of MRSI to structure the newly formed company.

Attorneys from Sheehan Phinney’s Corporate Group assisted MRSI and its founders in planning and implementing the purchase. Attorneys involved in the transaction included Janet B. Fierman, who worked with the founders on planning and structuring issues, Alexander H. Pyle, who advised on the purchase from Newport, and Bruce H. Bagdasarian, who led the debt financing side of the transaction.

Bagdasarian, Chair of the firm’s Distressed Assets Practice Group, has a diverse commercial real estate lending and transactional practice. He has extensive experience representing lenders nationally, including bank lenders, conduit lenders and corporate lenders.
