Sheehan Phinney Attorneys Assist in Vox Transaction

(September 29, 2008. Manchester, NH.) - Sheehan Phinney Bass + Green PA attorneys Joseph A. DiBrigida and Jon S. Liland recently represented a newly organized entity, Vox AM/FM, LLC, in its purchase of seven radio stations and related assets from Clear Channel Broadcasting, Inc. The stations purchased, together with related assets, are located in the Burlington, VT radio market and include WCPV(FM), Essex, NY; WEZF(FM), Burlington, VT; and WVTK(FM), Port Henry, NY.

DiBrigida, shareholder and current President of Sheehan Phinney, has represented the managers of Vox for twenty years. DiBrigida worked closely with Attorney Liland in Sheehan Phinney's Hanover, NH office, to assist the client in organizing a new entity for the purchase of the stations, in negotiating financing terms with private equity funding sources and other investors, and to close the transaction with Clear Channel during a difficult period for the radio and finance industries.

DiBrigida's practice concentrates on all stages of business representation, from formation to financing and venture capital; to business planning and advising; to sales, acquisitions and mergers. He has a particular concentration in the communications and broadcast industries.

Liland has a broad commercial practice that draws upon his experience in corporate financing, mergers and acquisitions, intellectual property, and securities. He has represented clients in acquisitions and divestitures (including a number of radio and media-related transactions) in the creation of new business entities, and in complex contractual negotiations.
